How We Work Together

These are the plain-English terms that guide our work with you. We’ve kept things simple, clear, and fair.

1. Overview

When you work with Xplore Design LLC (“we,” “our,” or “XD”), we’ll deliver creative strategy and digital services based on the scope you approve. You’ll be our client (“you”). Everything starts from the scope we agree on in writing.

2. What You’re Hiring Us To Do

We provide strategy and implementation services related to branding, marketing, website design, visual identity, and digital business growth. We may also provide custom services outlined in a written proposal or agreement.

3. Payment Terms

We start each project with a 50% deposit. Progress payments are tied to deliverables, and the final ~10% is due at project completion. We’ll outline this clearly in your proposal.

We reserve the right to pause work if a payment milestone is overdue by more than 7 days.

4. Your Materials & Input

We rely on you to provide timely, accurate input and materials (text, images, data, etc.). If you delay, the project may be delayed too.

5. Ownership & Usage Rights

You own the final deliverables once they’re paid for. This includes brand assets, designs, and strategy documents tailored for your business.

We retain the rights to re-use certain background materials we created (like design elements, templates, and code snippets), provided we modify them at least 30% before reusing them elsewhere. We never re-use your confidential materials.

6. Confidentiality

We both agree to keep each other’s confidential information private. That includes anything clearly marked or obviously confidential.

7. Project Changes

If you ask for work beyond the agreed scope, we’ll quote separately or discuss adjusting the budget and timeline.

8. Ending the Project

Either of us can end the project with 30 days’ written notice. You’ll be responsible for paying for any completed work and agreed deliverables up to the end date.

9. Legal Stuff (Briefly)

We’ll always do our best work using professional care. However, we can’t be held responsible for indirect losses like lost revenue. Our liability is limited to what you’ve paid us for the project.

 

This agreement is governed by U.S. contract law and the Uniform Commercial Code
